1. Scope

1.1 These Terms & Conditions (“Terms”) apply to all sales of electric balance bikes and related products (“Products”) by TRYDN Bikes Ltd (“TRYDN”, “we”, “our”, “us”).

1.2 We sell directly to consumers (B2C) and to trade customers (B2B). Certain clauses apply only to consumers or trade customers where stated.

1.3 By placing an order, you confirm that you have read, understood, and agreed to be bound by these Terms.

2. Products

2.1 All Products are manufactured to TRYDN’s design specification.

2.2 While we aim for accuracy, descriptions, specifications, dimensions, colours, and images are provided for guidance only.

2.3 It is your responsibility to ensure the Product is suitable for the intended rider’s age, weight, ability, and intended use.

3. Orders

3.1 Orders are subject to acceptance and availability.

3.2 A contract is formed when we confirm your order in writing or dispatch the Products.

3.3 We reserve the right to refuse any order, including where payment is not authorised, stock is unavailable, pricing errors occur, or fraud is suspected.

4. Prices & Payment

4.1 All prices are stated in GBP and include or exclude VAT as specified.

4.2 We reserve the right to amend prices prior to acceptance of an order.

4.3 Full payment is required before dispatch unless alternative payment terms have been agreed in writing.

4.4 For B2C customers, we accept cash, card, and bank transfer. Finance options offered through third-party providers may be available subject to status and approval.

4.5 Trade Accounts

Unless otherwise agreed in writing, payment is required prior to dispatch.

Where TRYDN grants credit terms to a trade customer, payment must be made within the period stated on the invoice.

Failure to pay by the due date may result in suspension of deliveries, withdrawal of credit facilities, cancellation of outstanding orders, and recovery action.

4.6 Late Payment (B2B Only)

TRYDN reserves the right to charge interest and compensation on overdue commercial debts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

TRYDN may also recover reasonable legal, collection, administrative, and recovery costs incurred in recovering overdue amounts.

5. Delivery

5.1 Delivery charges and estimated delivery times will be confirmed at the time of ordering.

5.2 Delivery dates are estimates only and are not guaranteed.

5.3 Risk in the Products transfers upon delivery.

5.4 Title to the Products remains with TRYDN until full payment has been received.

5.5 Customers must inspect Products upon delivery and notify us of any visible damage within 48 hours.

6. Ownership & Risk

6.1 Ownership passes when full payment has been received.

6.2 Until ownership transfers, Products must be stored securely, kept separately identifiable as the property of TRYDN, maintained in good condition, and must not be sold, modified, pledged, or otherwise disposed of without our written consent (trade customers only).

7. Consumer Rights (B2C)

7.1 Consumers may cancel their order within 14 days of delivery in accordance with the Consumer Contracts Regulations 2013.

7.2 To exercise this right, notice must be provided in writing within the cancellation period.

7.3 Returned Products should be returned in their original condition and packaging where reasonably possible.

Customers may inspect and handle Products to the extent necessary to establish their nature, characteristics, and functioning.

TRYDN reserves the right to make deductions from any refund where a Product has been handled beyond what is reasonably necessary and such handling has reduced its value.

7.4 Return costs are the responsibility of the customer.

7.5 Refunds will be processed within 14 days of receiving the returned Products or evidence of return.

7.6 Cancellation rights do not apply to customised or personalised Products.

8. Returns, Damage & Warranty

8.1 Faulty Products

If a Product is faulty, you must notify us as soon as reasonably possible after discovery.

8.2 Consumer Rights

Consumers retain all rights available under applicable consumer protection legislation.

8.3 Manufacturer Warranty

All Products include a 6-month limited warranty covering manufacturing defects in materials or workmanship under normal intended use.

8.4 Warranty Exclusions

The warranty does not cover:

• Normal wear and tear

• Cosmetic damage

• Damage caused by misuse, accidents, crashes, impacts, neglect, improper storage, or water ingress

• Damage resulting from inadequate packaging during return transit

• Unauthorised repairs or modifications

• Use outside the Product’s intended purpose

• Consumable items subject to normal wear

• Battery performance degradation resulting from normal use

8.5 Statutory Rights

This warranty is provided in addition to, and does not affect, any rights available under applicable consumer protection legislation.

9. Damage Identified on Returned Items

9.1 All returned Products may be photographed and inspected upon receipt.

9.2 Where additional damage is identified that was not previously reported, TRYDN may:

• Reject the return

• Refuse a refund where legally permitted

• Charge for repair costs

• Deduct depreciation

• Return the Product to the customer

9.3 Damage identified following unpacking may be considered to have occurred prior to or during return transit where the condition of the Product and packaging reasonably supports that conclusion.

10. Courier Damage Investigations

10.1 Where transit damage is reported, TRYDN may submit a claim to the relevant courier.

10.2 For consumer sales, statutory rights remain unaffected. TRYDN may investigate claims with its courier, but this will not unreasonably delay any remedy to which a consumer is legally entitled.

For trade customers, refunds, replacements, or settlements relating to alleged transit damage may be delayed pending completion of the courier’s investigation.

10.3 Courier investigations typically take 7–14 working days but may take longer.

11. Safety

11.1 Electric balance bikes are not road legal and must only be used on private land or other locations where lawful use is permitted.

11.2 Riders should wear appropriate protective equipment including helmets.

11.3 Children must be supervised by a responsible adult at all times.

11.4 Failure to follow safety guidance may result in injury or damage for which TRYDN accepts no responsibility where legally permitted.

11.5 Ensure all the instructions specified in the supplied instruction manual are read, understood and followed.

12. Liability

12.1 Subject to Clause 12.3, our total liability arising from any claim relating to the Products shall not exceed the purchase price paid for the Products.

12.2 We shall not be liable for indirect, consequential, special, or incidental losses including loss of profits, revenue, business opportunity, goodwill, or anticipated savings.

12.3 Nothing in these Terms excludes or limits liability for:

• Death or personal injury caused by negligence

• Fraud or fraudulent misrepresentation

• Breach of statutory rights

• Any liability that cannot legally be excluded

13. Trade Customers (B2B)

13.1 Consumer cancellation rights do not apply to trade customers.

13.2 Trade customers must inspect Products immediately upon delivery.

Any shortages, damage, or defects must be reported in writing within 48 hours of delivery.

13.3 Our liability to trade customers is limited to repair, replacement, or refund at our discretion.

13.4 Title remains with TRYDN until payment is received in full. We reserve the right to repossess unpaid Products.

13.5 Trade customers must not rebrand, modify, or misrepresent Products without written consent.

13.6 Trade Returns for Defects

Trade returns for suspected defects will be collected by TRYDN for inspection and diagnosis.

Following inspection, TRYDN will determine, acting reasonably, whether the issue results from a manufacturing defect or from misuse, incorrect handling, inadequate packaging, transit damage, normal wear and tear, or other external causes.

Completion of inspection does not imply acceptance of fault.

TRYDN may repair, replace, partially refund, or reject the claim as appropriate.

13.7 Trade Returns for Other Reasons

Trade returns for non-defect reasons must be organised at the trade customer’s expense.

Returned Products must be unused and in original packaging.

An administration fee of £50 per Product may be charged to cover inspection and repackaging.

Refunds will be processed within 14 days following satisfactory inspection.

13.8 Invoice Queries

Any invoice query must be raised in writing within 7 days of the invoice date.

Raising a query shall not entitle the customer to withhold payment of any undisputed amount.

13.9 Recovery Costs

The customer shall be liable for reasonable legal, collection, and recovery costs incurred by TRYDN in recovering overdue amounts.

14. Inconsistent Damage Claims

TRYDN reserves the right to reject claims where the condition of the Product or packaging is inconsistent with the explanation provided or where the damage pattern is not reasonably compatible with the reported cause.

15. Return Packaging Responsibility

Customers are responsible for ensuring Products are packaged securely for return.

TRYDN accepts no liability for damage caused by inadequate packaging during return transit.

16. Depreciation Deductions

Where returned Products show wear, use, missing parts, damage, or reduced value, TRYDN may deduct reasonable depreciation, repair costs, or replacement part costs from any refund where permitted by law.

17. Intellectual Property

17.1 All intellectual property rights relating to TRYDN Products, branding, designs, content, logos, trademarks, and marketing materials remain the property of TRYDN Bikes Ltd.

17.2 No intellectual property rights are transferred to the customer.

18. Force Majeure

TRYDN shall not be liable for any failure or delay resulting from events beyond its reasonable control, including industrial disputes, supplier failures, transport disruption, natural disasters, acts of government, war, epidemics, or other force majeure events.

19. Governing Law

These Terms are governed by the laws of England & Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England & Wales.

21. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement (B2B Only)

These Terms constitute the entire agreement between TRYDN and the trade customer in relation to the Products and supersede all prior discussions, negotiations, representations, and agreements.

Nothing in this clause excludes liability for fraud or fraudulent misrepresentation.
